Welcome to MartWebs ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") govern your use of our website located at https://martwebs.com (the "Site") and any custom web development, software-as-a-service (SaaS) scripts, technical SEO, or consulting services provided by us (collectively, the "Services").

By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree with any part of these terms, you must cease using our Site and Services immediately.

1. Services & Project Scope

  • Project Agreements: All custom web development, script implementation, or digital services will be governed by an independent Project Scope or Service Level Agreement (SLA) mutually agreed upon in writing.

  • Revisions: Unless stated otherwise in your specific project contract, any modifications or features requested outside the initial agreed-upon project scope will be billed at our standard hourly development rate.

  • Delivery & Deployment: Project deadlines are estimates. MartWebs is not liable for deployment delays caused by delayed client assets, third-party API issues, or late feedback.

2. Payment Terms, Fees, & Refunds

  • Payment Structures: Clients agree to the payment schedules outlines in their specific invoices or project agreements (e.g., a standard 50% upfront deposit and 50% upon project completion/deployment).

  • Late Payments: We reserve the right to pause development, suspend access to development servers, or withhold deployment scripts if invoices are not paid within fourteen (14) days of their due date.

  • Refund Policy: Due to the custom digital nature of software engineering and web development, deposits and milestone payments are non-refundable once design or development work has commenced.

3. Intellectual Property Rights

  • Our Property: All structural frameworks, custom core PHP scripts, source code, design elements, graphics, and text created by MartWebs prior to or independently of a client project remain the exclusive intellectual property of MartWebs.

  • Client Ownership: Upon full and final payment of all outstanding invoices, the specific custom front-end assets, tailored configurations, and text content created explicitly for the client's project will transfer to the client.

  • Prohibited Use: Users may not scrape, copy, modify, distribute, or reverse-engineer any software tools, layout templates, or scripts hosted on martwebs.com without express written authorization.

4. User Accounts & Security

  • If you register an account or use our Client Portal, you are solely responsible for maintaining the confidentiality of your login credentials.

  • You agree to notify us immediately of any unauthorized use or security breach of your account. We reserve the right to terminate accounts that violate these terms or engage in malicious technical behavior (e.g., attempting to inject malicious code into forms).

5. Limitation of Liability

  • To the maximum extent permitted by applicable law, MartWebs, its developers, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages.

  • This includes, but is not limited to, loss of profits, data loss, website downtime, third-party script conflicts, server failures, or loss of search engine rankings resulting from the use or inability to use our Site or Services.

6. Third-Party Links & Integration Services

Our Site or custom applications may integrate third-party tools, APIs, software scripts, or links to external platforms. MartWebs does not control, endorse, or assume responsibility for the functionality, privacy policies, or uptime of any third-party digital infrastructure.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any legal actions or disputes arising from these Terms or our Services shall be settled exclusively in the courts of Mönchengladbach, Germany.

8. Changes to These Terms

We reserve the right to update or modify these Terms at any time without prior notice. The "Last Updated" date at the top of this page will reflect the newest version. Continued use of our Site or services after changes are posted constitutes acceptance of the modified Terms.
